The Type of Corporate Finance Transaction that we are looking at here is that of an Investment Company that Takes Over a Manufacturing Enterprise

We have chosen this type of Corporate Finance Transaction because it is a very common and typical Corporate Finance Transaction.

[PLEASE NOTE: There is an Infinite Number of types of Corporate Finance Transactions that take place out there in the real world between different types of Buyers (Acquirers) and Target Companies (Acquisition Targets).]

Some Acquisition Transactions are executed in Mutual Agreement between the Buyer and the Target Company, whilst others are Hostile Takeovers.

To simplify things, our transaction is based on an Unlisted Target Manufacturing Company (a Privately Owned Company). We also assume that it is a Mutually Agreed Takeover between the Target Company and the Buyer.

These are the Important Steps to an Acquisition Transaction (from the buyer point of view):

First Approach: Meeting the Acquisition Target to check if there is interest.
Due Diligence Investigation
The Offer
Offer Acceptance/Rejection
Revised Offer
(The Offer can be revised more than once, using the Due Diligence Investigation Results as a guide)

From the Results of the Due Diligence Investigation Two Fnancial Models are Developed:

Historical Financial Model (Projections Based on Target's Historical Financials - 2 to 3 years historical financial or more)
Valuation Financial Model (Based on the Historial Financial Model)

For Acquisitions, the Valuation Model is Very Important - it is used as a guide when negotiating with the Target Company.
